Club Cooperation Agreement

Effective date: February 9, 2026

This Cooperation Agreement (hereinafter — "Agreement") is concluded between FOP Holovchenko Kyrylo Vadymovych, operator of the Tnsly platform (hereinafter — "Operator"), and the business entity that has registered a table tennis club on the Platform (hereinafter — "Club"). Registration of a club on the Platform constitutes acceptance of this Agreement.

1. Subject of the Agreement

The Operator provides the Club with access to the Platform's functionality for posting club information, managing tables, and receiving online bookings from Platform users.

2. Operator's obligations

  1. Ensure the technical operation of the Platform and the booking system.
  2. Provide the Club with management tools: profile editing, table management, viewing and creating bookings, assigning administrators.
  3. Display Club information in the catalog and on the Platform map after moderation.
  4. Notify the Club of significant changes to functionality or cooperation terms no later than 14 days in advance.

3. Club's obligations

  1. Provide accurate and up-to-date information: name, address, working hours, contact details, prices.
  2. Keep data current (working hours, table availability, prices) and update it when changes occur.
  3. Fulfill confirmed bookings: provide the table at the specified time and in good condition.
  4. Not refuse service to users on the basis of a booking made through the Platform.
  5. Comply with applicable Ukrainian law, including consumer protection regulations.

4. Bookings and payment

  1. The Platform acts as an information intermediary. Payment for bookings is made by the user directly to the Club.
  2. The Operator does not charge a commission on bookings at the current stage. Should a commission be introduced, the Club will be notified no later than 30 days in advance.
  3. The Club independently sets service prices and is responsible for their accuracy on the Platform.

5. Administration

  1. The Club may assign administrators with the following roles: owner, admin, manager.
  2. The owner bears full responsibility for the actions of club administrators on the Platform.
  3. Club administrators have access only to their own club's data. Access to other clubs' or users' data is prohibited.

6. Moderation

  1. A new club undergoes moderation by the Operator before being published in the catalog (statuses: pending, approved, rejected, suspended).
  2. The Operator reserves the right to suspend or remove a Club's profile in the event of: providing false information, systematic user complaints, or violation of this Agreement.
  3. Upon suspension, the Club receives a notification with the reason and has 14 days to remedy the violations.

7. Personal data

The Club receives access to limited user data for users who book tables (name, contact information). The Club undertakes to:

  • Use this data exclusively for fulfilling bookings.
  • Not transfer data to third parties and not use it for marketing without the user's separate consent.
  • Comply with the requirements of the Law of Ukraine "On Personal Data Protection".

8. Liability

  1. The Operator is not responsible for the quality of the Club's services, the condition of equipment, the behavior of staff, or the actions of third parties.
  2. The Club is liable for damages caused to users as a result of failing to fulfill confirmed bookings.
  3. The Operator does not guarantee a minimum number of bookings or visitors.

9. Term and termination

  1. The Agreement is effective from the moment the club registers on the Platform and is concluded for an indefinite term.
  2. Either party may terminate the cooperation by notifying the other party 14 days in advance.
  3. Upon termination, the Operator removes the Club's profile from the catalog. Active bookings remain valid until they are completed.

10. Dispute resolution

Disputes are resolved through negotiation. Claims are sent to support@tnsly.com. The review period is 30 calendar days. If agreement cannot be reached, the dispute is resolved in accordance with Ukrainian law.
